Evercore: choose the advisory problem you want to solve
Decide whether you want to value strategic transactions, help repair capital structures or advise managers raising or realizing capital. An Evercore application should explain that choice and the preparation you have done for the work.

Independent advice covers several different businesses
Evercore's U.S. student page distinguishes M&A, Liability Management & Restructuring, Capital Markets Advisory, and Private Capital Advisory & Fundraising. It describes M&A work as evaluating parties, values and strategic alternatives, and restructuring work for companies and other stakeholders. Its capital-markets descriptions include execution as well as advice.
Read those capabilities carefully. Independent advisory does not mean that the only work is M&A or that capital-markets activity is absent. Equally, advising a private fund manager does not make the analyst an investor at that fund. Your motivation needs to fit the actual client and decision.
| Direction | Practise answering | Work product to prepare |
|---|---|---|
| M&A | Which alternative is most attractive at a supportable price? | Valuation range, buyer logic and a comparison with remaining independent. |
| Restructuring | What can the business fund, and who is exposed? | Liquidity forecast, debt schedule and clearly labeled stakeholder assumptions. |
| Capital markets | Which financing fits the client's objective? | Terms comparison, dilution analysis and downside funding needs. |
| Private capital advisory | What does a manager or investor seek to raise or realize? | A clear distinction between company value, fund interests and transaction proceeds. |

Verify the office and the level of entry
The general Students & Graduates page identifies undergraduates with Analyst opportunities and current MBA students with Associate opportunities. Use the U.S. page's Open Positions link to inspect the specific role and its eligibility. A regional description is not evidence of an opening for your class year.
The checked U.S. page lists M&A in New York, Houston, Menlo Park, Chicago, San Francisco and Toronto. It lists New York for restructuring, capital-markets and private-capital advisory descriptions. These are published capability locations, not an assertion that all those teams are currently recruiting or that a role can be moved between offices.
Compare offices through verified work. A New York specialist role and a Chicago M&A role should produce different preparation priorities. Investigate the posting's responsibilities rather than inferring a sector assignment from the city's reputation.

Show how evidence changes the valuation
Explain the valuation range through the earnings period, debt and cash treatment, and sustainable earnings base. Test whether each adjustment reflects the business a buyer would actually own.
Practise reviewing an adjusted EBITDA bridge line by line. Ask whether a cost truly disappears, whether a new owner must replace it and whether the chosen multiple uses the same definition of earnings. Write down the unresolved diligence request rather than silently replacing uncertainty with a confident assumption.
An original earnings-normalization exercise
Compare a fictional seller's value indication with an independently normalized case. Explain what causes the difference.
- All amounts are USD millions. Reported EBITDA is 40. A verified one-time plant closure cost of 4 is included in that figure.
- A required ongoing service cost of 3 is omitted from reported EBITDA and must be included in the sustainable case. There are no other adjustments.
- Use an illustrative 8.0x multiple on normalized EBITDA. The seller instead uses adjusted EBITDA of 48 and a 9.0x multiple. Both valuations use debt of 80 and excess cash of 10, with no other equity-bridge adjustments.
Show the worked reasoning
- Normalized EBITDA = 40 + 4 - 3 = 41.
- Normalized-case enterprise value = 41 × 8.0 = 328. Equity value = 328 - 80 + 10 = 258.
- Seller enterprise value = 48 × 9.0 = 432. Seller equity value = 432 - 80 + 10 = 362.
- The 104 equity-value gap decomposes into (48 - 41) × 8.0 = 56 from earnings and 48 × (9.0 - 8.0) = 48 from the multiple.
The gap is not solely a disagreement about the multiple. Explain the 7 of earnings difference, then discuss evidence for the multiple and an appropriate range. The assumptions do not establish a real company's fair value.
Check your reasoning: Adding back a one-time cost while ignoring a recurring cost a buyer must pay, or changing the earnings definition without reconciling the valuation impact.
Prepare an alternatives brief instead of a deal recap
Choose a publicly disclosed company decision and reconstruct the situation from filings and announcements. State the client's objective, what is known at the decision date, the plausible alternatives and the key constraint. Keep subsequent outcomes separate so that hindsight does not replace the reasoning available at the time.
For M&A, compare a sale, acquisition or standalone plan using consistent assumptions. Include an execution risk that could make the highest headline price less attractive. For restructuring interests, begin with the cash runway and maturities before discussing a recovery value. For private-capital advisory interests, identify whether the asset being transacted is a company, a portfolio or a fund interest.
Make your recommendation conditional on a diligence finding, price or financing term that could change it. Explain the conclusion in language a business owner could assess.
Keep advisory, financing and investing distinct
- Do not describe private-capital advisory as a direct buyout seat. Explain the advisory client and the capital transaction before discussing investment returns.
- Do not assume that a financing advisory description means the firm has committed its own balance sheet. Identify who actually supplies the capital in your chosen example.
- Avoid saying a complex transaction was successful solely because it closed. Assess price, alternatives and risks using the client's objective.
- A valuation model and debt schedule are useful foundations for restructuring preparation, but they do not establish legal priority, covenant rights or court outcomes. Identify those gaps explicitly.
Your next actions
- Identify the named advisory business, office and Analyst or Associate entry route.
- Normalize one public company's earnings and document each accepted and rejected adjustment.
- Write a one-page alternatives brief with a condition that would reverse your recommendation.
- Explain the difference between advising a private fund and investing its capital.
Put it into practice
Choose the first task that matches your preparation. These links open the FinTwin study workspace under its normal account and saved-work rules.
- Challenge an adjusted earnings figure
Make an earnings adjustment defensible before using it in a valuation.
- Use multiples with a consistent denominator
Keep the valuation basis consistent across alternatives.
- Harbor Inspection: what is supported by the cash?
Turn operating assumptions into a valuation recommendation.
- Replace the seller's earnings adjustments
Practise challenging a seller bridge with evidence rather than accepting the headline.
- Move from the business to shareholders
Separate enterprise value from the proceeds relevant to owners.
Try the task before revealing its worked answer. Compare the method, revise your reasoning and use the workspace’s save or review controls. Reading this guide does not record a completed lesson.
